In what way it differ from VMWARE certification ?

All of the redhat certifications are great, under certain circumstances. I would not expect a certification to get you a senior admin job somewhere, but for getting your foot in the door, they are great. All of them are performance based, not question and answer, so you really have to know your stuff.

Redhat provides a study guide here

and from my experience with the RHCT and RHCE, the guides give you a good idea of what will be on the test, but don't tell you how in-depth you need to know it. I over studied for my 2 exams, and it paid off in the end, as I had no problem with either.

I don't know what VMWARE's certification is, but I can tell you that redhat tests on their own virtualization, not VMware's product.

I'm not 100% sure, but for most of their exams outside of the RHCT and RHCE, you have to have a current RHCE before they let you take the exam.
