tovid will do the conversion, but you may have to use the "-fps" option to get the frame rate correct, and this could in turn mean some audio-video sync problems.

I believe that ffmpeg will do that for you. I know it converts from just about any other format I've tried. Give it a look, it may be what you need.

FFMpeg with the proprietary w32 codecs might do it.
