Need some advise for a new build,
I'm really considering the price and need to stay within my budget which is around $350
for the whole box,so far this is what I have been considering.

I'm running Linux Suse right now and I don't know if I even need dual core, I do like to be up to date with this build, need some more input.
Do you really need 2 network cards ?
All motherboards come with the network adapter integrated these days, like this Intel 946GZ you are referring to.
Otherwise, Suse will work nicely with this stuff.
In my opinion, AMD offers better performance/price in this price range.
For example the AMD Athlon 64 3700+ (San Diego model, at the same price) outperforms the Pentium D 805 by a strong margin.

Not sure? The onboard Lan is 10/100 and I can do around 500 on download.
I don't think it will do the job.
100 Mb/s is more then enough. Even if you have the craziest ISP in town, your internet connection will not be faster then 1 Mb/s.
More probably you are downloading at 500 Kb/s, so 1/200 of the maximum speed of your network card.
