Depends in what condition that machine is.
    - Does it have a valid subscription to rhn?
    - Does it have 3rd_party RPMs installed?
    - Does it have self-compiled programs?
    - Does the backup work?
    - Does the restore work?
    - How long can the machine be taken offline, in case something goes wrong?
    - Does any of the release notes affect your applications and/or data?

After you cleared those questions for yourself, you will have to do a fresh install.
There is no direct upgrade path between major versions of redhat.

That also means, that the versions of the applications (apache, mysql, php, perl, etc ) have changed.
You need to judge how this affects the functionality of the software you are using on that box.
You must always face the curtain with a bow.

as irithori said, you can't do a straight upgrade to RHEL5 from RHEL4

you will need to backup all important data, application configurations, etc because you need to do a fresh install which will require formatting the disk
