Unless someone was to change the Modules (Physical), No Hard-Drive is EXACTLY what It says on the tin. I have a '160Gb' hard-drive and it too has 149Gb Capacity. If you get a 350Gb Hard drive, yet again, it won't be the exact amount.
There is pretty much no way you can change this. You'll just have to accept it.
Nearly all hard drives will not be exact. It's all to do with sufficient amount of sectors and modules. It is slightly like when you have an in-build video card. It takes V-Ram from your system RAM, so your PC won't detect 512, but 504Mb of RAM. Never be too expectant of what you get.

No, formatted capacity is always less. Some friend told me once marketing likes big numbers and they count bytes in a decimal system instead of binary to make it look bigger. Not sure though
You can't do anything about it, except getting a bigger hard drive
